DPC supports Trimble to overcome the integration challenges in the merger process
DPC combined its expertise in advising businesses in the technological area with its experience in business management and mergers to support the American multinational Trimble in the integration process of a Brazilian company.
Trimble, operating in the market for over 40 years, supplies hardware and software products and services in more than 150 countries, revealing the strength of its global presence.

Trimble purchased the Brazilian Veltec, a privately held fleet management company that provides solutions for transportation companies improving safety and reducing operational costs. Upon the merger, the multinational company was faced with a challenge: to integrate systems and processes, seeking to align the operational structure of both companies to ensure uniformity of management, accounting practices, and other aspects. Another important issue, as it impacts competitiveness and profitability, involves tax planning, considering the taxes applicable to industrial and services rendering activities, in addition to the analysis of the impact of the tax rates in the states where each company is based: Trimble is based in São Paulo, while Veltec is based in Paraná. |

In a collaborative and strategic manner, DPC worked closely with Trimble's team and its legal advisors since the integration began to be planned. The intention was to promote integration in a transparent, efficient, and least costly way, considering, whenever technically and economically feasible, the use of the combined resources from each company. The multidisciplinary approach received support from DPC's teams of specialists in the Tax, Accounting, and Labor areas, considering all the complexities involved in conducting the integration. The technological needs were met by the consultancy and systemic deployment team, which developed solutions for integration between the systems, keeping in mind the tax specificities of the business lines. In addition to the technical areas, the Customer Care team also performed to establish a project vision among the various areas of DPC and the client, with the prior definition of workflows and responsibility structures in an integrated manner. |

Trimble chose to continue operating in two units: one in São Paulo (head office), and another one in Paraná (branch). The DPC's performance contributed to increase the client's confidence in the related decision processes. This performance included:
