Civil Code - Limited Partnership

Law 13792, of Jan-03-2019 - (DOU, of Jan-04-2019) - Modifies the Civil Code the issues related to the quorum for deliberation in the scope of limited companies in the administration and resolution of the limited company in relation to member minority shareholders.

The law reduces the quorum required to remove from the position of director the member appointed for the function in an express clause of the articles of association from two thirds to a majority of votes, and also waives the convening of a meeting or general meeting for the purpose of exclusion of shareholder in the companies formed by only two partners.
