Members’ and shareholders’ meetings must be held until 04/29

The accounts must be approved in the annual members’ or shareholders’ meeting.

Partnerships such as corporations or limited-liability companies, and members of civil society and civil associations must have the minutes for the members’ and shareholders’ meetings taken to approve the companies’ accounts. These events need to be held until the last working day of the month of April in the year following the fiscal year end, a deadline that is reached on 04/29 in 2022.

Holding a member’s and shareholders’ meeting is intended to:

• Take the managers’ accounts and resolve on the balance sheet and the economic result;
• Assign or remove administrators, and decide on their compensation when that is not stated in the contract, when applicable;
• Discuss and address any other relevant topic on the day’s agenda.

The minutes must be filed in a public register entity, alongside the financial statements (large-sized companies), or a statement that acknowledges that the company is not a large limited-liability company signed both by the administrator and an accountant, in accordance with Law No. 11,638/2007.
